Effective 12.09.25

Terms & Conditions

These Terms and Conditions ("Terms") govern your access to and use of the websites, software, and services provided by Main Yard AI, Inc. ("Main Yard," "we," "us," or "our").

These Terms apply to mainyardai.com, the Terminal software platform, and any related services provided by Main Yard, including Managed GPU Capacity where applicable.

By creating an account, accepting these Terms, purchasing a service, or otherwise using our services, you agree to these Terms. If you are using our services on behalf of a company or other organization, you represent that you have authority to accept these Terms on its behalf.

If you do not agree to these Terms, do not use our services.

1. Our Services

Main Yard provides software and infrastructure services related to artificial intelligence computing.

Our offerings may include:

  • Terminal, a software platform for understanding, planning, managing, and operating AI compute infrastructure.
  • Managed GPU Capacity, a separately offered service for compute resources supplied or managed by Main Yard.
  • Related integrations, analytics, operational tools, documentation, and support.

Specific features, integrations, service levels, resource availability, and commercial terms depend on the services purchased and the applicable agreement.

We may improve, modify, or discontinue features as our products evolve. Material changes affecting paid services will be communicated as appropriate under the applicable agreement.

2. Accounts and Access

Certain services require an account.

You agree to provide accurate account information, maintain the confidentiality of your credentials, and ensure that authorized users comply with these Terms.

You are responsible for activity conducted through your account, except to the extent caused by Main Yard's breach of its obligations.

You must notify us promptly if you become aware of unauthorized access or a security incident involving your account.

We may restrict or suspend access when reasonably necessary to address security threats, unlawful activity, material violations of these Terms, or unpaid charges.

3. Terminal Software

Terminal is designed to help organizations understand and operate AI compute infrastructure.

Depending on your subscription and supported integrations, Terminal may provide access to workload management, cost analytics, capacity planning, infrastructure comparisons, recommendations, and operational controls.

During an active subscription, Main Yard grants you a limited, non-exclusive, non-transferable right to access and use Terminal for your organization's internal business purposes.

Terminal does not transfer ownership of software, infrastructure, or underlying technology to the customer.

You may not resell, sublicense, reverse engineer, or commercially redistribute Terminal except where expressly permitted by law or a separate written agreement.

4. Infrastructure Connections and Permissions

Terminal may connect to cloud providers, infrastructure platforms, and other third-party services that you authorize.

You are responsible for maintaining valid provider accounts and ensuring that you have the necessary rights to connect and manage those environments.

Access permissions determine what Terminal can observe or perform.

Connecting an infrastructure account does not automatically authorize Main Yard to make changes to that infrastructure.

Where supported, actions affecting infrastructure may require separate permissions, explicit approval, budget validation, or other operational safeguards.

You are responsible for reviewing proposed infrastructure changes before authorizing their execution.

Main Yard is not responsible for third-party provider charges incurred through your accounts solely because you authorized an infrastructure action, except to the extent those charges result from Main Yard's breach of its contractual obligations.

5. Recommendations and Automated Operations

Terminal may provide estimates, forecasts, comparisons, recommendations, and AI-assisted analysis.

These outputs are intended to support operational decisions. They may depend on incomplete, delayed, estimated, or third-party information.

Main Yard does not guarantee that every recommendation will produce cost savings, improved performance, increased capacity, or a particular business outcome.

Recommendations do not constitute authorization to execute infrastructure changes.

Where execution features are available, their scope and approval requirements are governed by the applicable service configuration and agreement.

Customers remain responsible for their business decisions and for reviewing material changes to their infrastructure.

6. Managed GPU Capacity

Main Yard may separately provide managed GPU compute capacity under an agreed commercial arrangement.

Capacity services may be structured around resource availability, consumption, reserved commitments, operational requirements, and service duration.

Specific GPU resources, configurations, pricing, geographic availability, deployment responsibilities, and service levels are established through an accepted quote, order, or written service agreement.

No particular GPU model, resource quantity, price, performance level, or availability is guaranteed unless expressly agreed in writing.

Managed GPU Capacity does not automatically include a Terminal subscription unless the applicable agreement provides otherwise.

Main Yard may use third-party infrastructure providers to fulfill managed capacity services.

7. Pricing, Billing, and Payment

Fees are determined by the applicable subscription, accepted order, or service agreement.

Terminal subscriptions may be billed on a recurring basis.

Managed GPU Capacity may be billed according to consumption, committed capacity, or separately negotiated terms.

Additional charges may apply for supported usage-based services when disclosed and agreed upon.

Before purchasing a service, customers will be informed of the applicable pricing, billing frequency, and material commercial terms.

If a subscription automatically renews, its renewal and cancellation terms will be disclosed before purchase. Customers authorize recurring charges only when they expressly agree to those terms.

You are responsible for paying applicable fees, taxes, and third-party infrastructure costs allocated to you under your agreement.

Unless otherwise stated in the applicable agreement or required by law, fees for services already provided are nonrefundable.

Customers may request cancellation through available account controls or by contacting hello@mainyard.ai. Cancellation takes effect according to the accepted subscription or service terms. Any minimum commitment or outstanding charges remain subject to the applicable agreement.

We will not introduce undisclosed recurring charges.

8. Customer Data and Privacy

You retain ownership of the data, files, configurations, and other materials that you provide to Main Yard or make available through authorized integrations ("Customer Data").

You authorize Main Yard to access, process, and use Customer Data as reasonably necessary to provide the services, fulfill contractual obligations, maintain service security, and comply with applicable law.

You represent that you have the rights and permissions necessary to provide Customer Data and authorize its processing.

Our handling of personal information is described in our Privacy Policy and, where applicable, a separate data processing agreement.

Customers are responsible for determining whether their intended use requires additional regulatory, confidentiality, or data processing arrangements before using the services.

9. Third-Party Services

Our services may integrate with cloud platforms, model providers, payment processors, and other third-party technologies.

These providers operate under their own terms, pricing, technical limitations, and availability conditions.

Main Yard does not control the independent operations, pricing changes, outages, or service policies of third-party providers.

We are not responsible for failures attributable solely to third-party services outside our control, except where we have expressly assumed responsibility under a separate service agreement.

10. Acceptable Use

You agree to use Main Yard's services lawfully and responsibly.

You may not use our services to:

  • Violate applicable laws, regulations, sanctions, or export restrictions.
  • Access infrastructure, accounts, or data without authorization.
  • Distribute malware, conduct unauthorized attacks, or interfere with the security or availability of systems.
  • Circumvent usage restrictions, access controls, or security safeguards.
  • Engage in fraudulent activity or unlawfully process personal information.
  • Resell infrastructure or software services without authorization where resale is restricted by your agreement.

We may investigate suspected misuse and take reasonable action to protect our customers, systems, and infrastructure.

11. Intellectual Property

Main Yard retains all rights, title, and interest in its software, platform, website content, documentation, trademarks, designs, and proprietary technology.

These Terms do not grant customers ownership of Main Yard intellectual property.

Customers retain their rights in Customer Data and other materials they independently own.

Feedback, suggestions, or ideas voluntarily submitted to Main Yard may be used to improve our services without compensation, provided that doing so does not disclose protected Customer Data or violate applicable confidentiality obligations.

12. Confidentiality

Either party may receive nonpublic information from the other party that is identified as confidential or should reasonably be understood to be confidential.

Each party agrees to protect such information using reasonable care and to use it only for purposes related to the business relationship.

Confidential information may be disclosed to employees, contractors, professional advisers, or service providers who have a legitimate need to know and are subject to appropriate confidentiality obligations.

These obligations do not apply to information that becomes publicly available without breach, was already lawfully known, is independently developed, or is lawfully obtained from another source.

Disclosure required by law is permitted, subject to legally permissible notice to the other party.

13. Service Availability

Main Yard aims to provide dependable software and infrastructure services.

However, interruptions may occur due to maintenance, system failures, provider outages, security incidents, or circumstances outside our reasonable control.

Unless expressly agreed in a separate service-level agreement, Main Yard does not guarantee uninterrupted or error-free availability.

Any agreed uptime commitments, service credits, support response times, or performance guarantees will be governed by the applicable written service agreement.

14. Suspension and Termination

You may stop using our website or request closure of your account at any time, subject to applicable contractual commitments.

Paid subscriptions and capacity commitments terminate according to their agreed terms.

Main Yard may suspend or terminate access when reasonably necessary because of:

  • A material violation of these Terms.
  • Unpaid fees after applicable notice or cure periods.
  • Unauthorized, fraudulent, or unlawful activity.
  • A security threat affecting the services or other users.

Where reasonably practicable, we will provide notice and an opportunity to resolve the issue before suspension or termination.

Upon termination, your right to access the affected services ends. Data retrieval, retention, deletion, and outstanding payment obligations remain governed by the applicable agreement and Privacy Policy.

15. Disclaimers

Except for warranties expressly provided in a written agreement, Main Yard provides its website, software, and services on an "as available" basis to the extent permitted by applicable law.

We do not guarantee that forecasts, recommendations, infrastructure comparisons, or estimates will be complete, accurate, or suitable for every operational decision.

Customers are responsible for evaluating whether the services meet their technical, security, regulatory, and business requirements.

Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.

16. Limitation of Liability

To the maximum extent permitted by applicable law, neither party will be liable to the other for indirect, incidental, special, consequential, or punitive damages, or for lost profits or business opportunities, arising from the services, except where such limitations are prohibited by law or otherwise agreed in writing.

Except for payment obligations, fraud, willful misconduct, or liabilities that cannot legally be limited, each party's aggregate liability arising from the services will not exceed the fees paid or payable for the affected services during the twelve months preceding the event giving rise to the claim.

For use of the public website without a paid service relationship, Main Yard's aggregate liability will not exceed $100, to the extent permitted by law.

A separate signed agreement may establish different liability terms.

17. Changes to These Terms

Main Yard may update these Terms to reflect changes to its services, business practices, or legal obligations.

The current version will be available on our website with its effective date.

If an update materially affects existing customers' contractual rights or obligations, we will provide reasonable advance notice where required by law or the applicable agreement.

Changes will not retroactively modify signed commercial commitments unless permitted by the applicable agreement or agreed by the parties.

18. Governing Law and Disputes

These Terms are governed by the laws of [Confirm Governing State], without regard to conflict-of-law principles.

Before initiating formal legal proceedings, the parties agree to make a good-faith effort to resolve disputes through direct communication.

Unless a separate written agreement provides otherwise, disputes that cannot be resolved informally will be brought before courts with appropriate jurisdiction in [Confirm County and State], subject to applicable law.

19. Other Terms

These Terms, together with any applicable order, subscription agreement, service agreement, and incorporated policies, form the agreement governing the relevant services.

If an executed commercial agreement conflicts with these Terms, the executed agreement controls for the services it covers.

If any provision of these Terms is found unenforceable, the remaining provisions remain effective.

A failure to enforce a provision does not waive the right to enforce it later.

Neither party may transfer its rights or obligations under these Terms without the other's consent, except in connection with a merger, acquisition, or transfer of substantially all relevant business assets, provided that the successor assumes the applicable obligations.

Nothing in these Terms creates a partnership, joint venture, employment relationship, or agency relationship between the parties.
